Use this QuickForm Assignment of a Software License Agreement to document the terms and conditions on which an existing Software License Agreement is transferred or "assigned" from the current Licensee to a third party.

This is a versatile agreement that can cover a number of scenarios.

The third party assignee may be purchasing the Licensee's business, merging with the Licensee or operating the licensed software for the Licensee's benefit under a data processing "outsourcing" arrangement.

Written approval is needed when a "No Assignment" Clause in the Software License Agreement requires the Licensor’s consent to a transfer of operational or beneficial use of the software.

"No-assignment" restrictions in a Software License Agreement are generally considered enforceable, especially under the new Uniform Computer Information Transactions Act (UCITA). Even without a No Assignment clause, a license may still be non-transferable if certain circumstances are present.

This Agreement can help software vendors collect old invoices. Simply condition approval of the transfer on the payment of the invoices.
