Strategic Alliance Agreements  (for Software & Computer Industry Alliance Programs)

QuickForm Contracts makes it easy to set up Strategic Alliance Programs, (also called Alliance Channel or Partner Programs) for software and computer industry participants. Alliances can provide a significant economic benefit for both the sponsoring company and participating alliance members, without much cost or investment.

We have an entire set of documents to set up strategic alliance "partnership" relationships. Alliances are arranged in a hub-and-spoke structure. The Master Agreement is the "hub" and various Alliance Program Exhibits are the "spokes" that activate specific Alliance Programs.

Documents are "plug-and-play" for easy mixing and matching. You can set up a Master Agreement and one Alliance Exhibit now, then add more Alliances as the relationship grows (click document title for a detailed description):

ALLIANCE MASTER AGREEMENT: The Master Agreement establishes the overall structural relationship, defines important terms, specifies Program Fees, invoicing and payment rules, Program License types, protects confidentiality and intellectual property rights, addresses warranties, disclaimers, liability, indemnity, term & termination rights and dispute resolution.

  • Software Integration Alliance Exhibit: the Alliance Member will develop technical interfaces to allow your software to interoperate & exchange data with other software. Interfaces can be "certified" and even sold over a developer network. Helps respond to Customer demands for software that is easier and cheaper to integrate with other software.

  • Software Consulting Alliance Exhibit: Increases the availability of trained consultants in the marketplace who can help customers implement and support your software. Provides developer licenses, training, perks and more to consulting company Members.

  • Software Translation Alliance Program: Authorizes the development of translated and localized versions of your company software to help access foreign language speaking markets (e.g., from English to Spanish or Korean).

  • Marketing Alliance Program: Establish a cooperative marketing alliance to help coordinate, plan and budget for joint marketing activities that will help generate demand for the parties' products and services.

  • Indirect Channel Alliance Exhibit: Authorizes Alliance Members to distribute your Software. Software may be distributed as standalone products, embedded in value-added applications, bundled with product suites or pre-installed on hardware (OEM).

  • Sales Commission Alliance Exhibit: Broadens your reach by paying sales commissions or other incentive compensation to Alliance Members for referring direct Customer sales of products (software or hardware) & services to you (Note: for a standalone version of this document, check out our Independent Sales Agent Agreement).

Please Note: to activate an alliance, you need to (a) draft the Alliance Master Agreement, and (b) draft the Alliance Exhibit for the specific alliance that you want to activate. DO NOT attempt to enter into an Alliance Exhibit without also executing the Master Agreement, as it contains important provisions that are incorporated into the Alliance Exhibit.
